TYPES OF BUSINESS

BUSINESS MODEL ACTIV SPORTSWEAR COMPANY is based on partnership because there are five owners operating the business. A definition of partnership is a legal form of business operation between two or more individuals who share management and profits. In our case, our partnership business is operated by 5 shareholders. Every shareholders contributed the same amount of profit which is RM50, 000 each person according to the legal agreement that have been agreed.

Advantages of Partnership: 1. Two heads (or more) are better than one. 2. Business is easy to establish and start-up costs are low. 3. More capital is available for the business 4. ACTIV Sportswear Company was officially established on 12 July 2019 as a company that is partnership company. With a capital of RM50,000, ACTIV Sportswear Company, which was originally located at Pusat Komersial, 2, Jalan Plumbum Seksyen 7, 4000 Shah Alam,Selangor. It was constructed with a total of twenty seven workers include five of manager of every department, minimal equipment and many deficiencies. 1.3.1 NAME OF THE COMPANY The name of our company is Activ Sportswear which is a partnership business.

1.3.2 NATURE OF BUSINESS The nature of business could be of the clothing and apparel sportswear. Sportswear or activewear is clothing, including shirts, hijab and exercise pants. Sport clothing is worn for most sports and physical exercise, for practical, comfort and safety reasons.

1.3.4 OPERATIONAL DATE After we had registered under Suruhanjaya Syarikat Malaysia (SSM) on March 3 2019, hence we officially commenced our business January 12 2019.

1.3.5 FUTURE PROSPECTS OF BUSINESS After we have financially stable with our business, we plan to expand our business to other area and branches such as Johor and Penang. The problem that occurred to Muslimah women inspired us to become Muslim women’s sports clothing solutions. Nowadays, Muslim women more concern to their health Sportswear requires aesthetic features such as an attractive appearance and a pleasant look as well as functions that improve athletes’ performance, provide extra comfort and promote the health of the wearer. Today’s garments for sports and active outdoor wear are lighter, softer, more durable and faster drying.

4.1.3 Period of Partner Agreement : From the consent of all partners, we agreed that : They had to run at least five years (5) and partners are prohibited from dissolving the business without the consent of other partners resolutions to other partners. 4.1.4 Distribution of Profits and Loss : Every partner has belonging this business and the amount of the profit from this business as well. The partners will distribute profit according to capital distribution. Any losses will be liable among partner equally according Partnership Act 1961. 4.1.5 Perquisite : Any additional pay is to follow current profit and will be present in the end of the financial report. 4.1.6 Death : The representive of the death partners can appoint to the business under the Malaysian Law. The close members of the family upon the entire death partner share can make the transmission of the state.

4.1.7 Bankruptcy or Dissolution of Partnership :  When the partner is found lunatic, permanently unsound mind [Partnership Act 1961 S.37 (a)]  When a partner permanently incapable of performing his part of the partnership contract [Partnership Act 1961 s.37 (b)]  When a partner calculated to affect prejudicially the carrying on the business [Partnership Act 1961 S.37 (c)]  When the partner willfully or persistently commits a breach of the partnership agreement or otherwise [Partnership Act 1961 S.37 (d)]  When the business of the partnership can be only be carried on at a loss [Partnership Act 1961 S.37 (e)]  Whenever in any case circumstances have arisen which in the opinion of the court, render it just and equitable that the partnership be dissolve [Partnership Act 1961 S.37 (f)]

4.1.8 Retirement If any partner who want to retire from the business must have consent from other partners. They will get back their invests and the notice of retirement must be given 3 months before the retirement date. 4.1.9 Others Each of the partners must act in good faith and respect other partners. Partners must have willingness and interested to make the business more successful and giving full commitment for the business . They also must be honest and straight forward in order to execute responsible as a partner.
