James Fielding Group (JFG) is a diversified property group focusing on property investment and development, funds management and property services. The Group has nine core business divisions: James Fielding Trust, James Fielding Developments, James Fielding Direct, James Fielding Capital, James Fielding Property Services, JF Meridian Trust, James Fielding Infrastructure, Hotel Capital Partners and Perpetual James Fielding. The responsible entity of the Trust is James Fielding Funds Management. James Fielding Trust: The Trust holds a diversified portfolio of 8 commercial, industrial and retail properties. The Trust also acquired a 14.9% strategic holding in the JF Meridian Trust for $69.4m. JF Developments Pty Ltd: The division invests in property development, refurbishment and strata and land subdivision across a broad range of property classes. James Fielding Direct: James Fielding Direct was established to manage unlisted property funds including property syndicates, wholesale funds and private client investments within the Group. JF Capital: James Fielding Capital provides property based debt funds in the area of high yield investments. In addition, the division advises on and arranges the debt capital requirements of JFG, for both investment and development property, and manages the resultant loan facilities. JF Property Services Pty Ltd: JFPS provides a range of integrated property related services including strategic analysis, capital planning and delivery, on-going facility and asset management to trusts, corporate and government departments. JF Meridian Trust: JFM's major investments include interests in 14 retail, 9 office and 5 industrial properties. James Fielding Infrastructure: JFI is a 50/50 joint venture between JFG and Leighton Holdings Limited. JFI focuses on property related infrastructure funds management. JFI currently has $350m of fund under management. Hotel Capital Partners: HCP is a specialist hotel investment fund manager with an executive team broadly experienced in the fields of hotel investment and hotel operations. HCP is the responsible entity for the Tourism and Leisure Trust and Australian Hotel Fund. Perpetual James Fielding: This is a 50/50 joint venture with Perpetual, which offers active management of listed property securities to the retail, master trust and institutional clients. The division has some $310m in funds under management.

Directors’ Profiles Directors’ Profiles as at 30/06/2004 (Source: 2004 Annual Report) Mr Gregory James Paramor Mr. Paramor is the Managing Director of the James Fielding Group, responsible for the overall management and operations of the Group. Greg, as a co-founder of the Group, played an integral part in the merging of JF Holdings and JF Trust (formerly known as PA Property Trust) to create a merged stapled entity trading on the ASX as the James Fielding Group. The Group manages funds totalling some $1.8 billion. He has been involved in the real estate and funds management industry for the past 30 years. He has participated in forming property vehicles for public investment since 1981, with direct involvement in the organisation of approximately $4 billion of commercial, retail and industrial projects and property securities. He is the immediate past president of the Property Council of Australia, a former chairman of the Investment Funds Association of Australia Limited and a Fellow of the Australian Property Institute. He is a Director of a number of organisations and companies, including the Garvan Institute of Medical Research and Leighton Properties Pty Limited. Acqn of 49% Int.inTravelodge Hotel Grp&Proposed Rights Offer JF Meridian Trust (49%) announced that it has entered into a JV with NRMA Motoring and Services (50%) and James Fielding Trust (1%). The JV has exchanged contracts to acquire the Travelodge Hotel Group for $189 million. The company added that the Travelodge JV has entered into a Heads of Agreement with Toga Hospitality, who will lease the entire hotel portfolio from the date of settlement, currently expected to be 31 March 2005. JF Meridian Management Limited will be responsible for the asset and fund management of the JV.

Court Approves Scheme of Arrangement re: Acq of JFG James Fielding Group (JFG) advised that the Federal Court approved the Scheme of Arrangement in connection
with the acquisition of JFG by the Mirvac Group. Consequently, JFG Securities will cease trading at the close of trading on 29 December 2004, and Mirvac will issue New Mirvac Securities on 7 January 2005 to eligible securityholders as of the record date of 6 January 2005. Securityholders who would like to participate in either the Cash Out Facility or the Security Sale Facility have until 5:00pm on 29 December 2004 to lodge their Election Forms. 20/12/2004
