In" consideration" of" the" payment" by" the" Publisher" to" the" Assignor" upon" signature" hereof" of" the" recoupable"sum"of"£xxxxxxx"(xxxxxxxx" pounds)"(“the"Advance”)"and"in"consideration"of"Publishers" agreement"to"account"for"and"pay"the"royalties"and"fees"specified"in"Schedule"1"hereto"subject"to" recoupment" of" the" Advance" from" Assignor’s" share" of" royalties" and" fees" arising" hereunder" the" Assignor" hereby" assigns" with" full" title" guarantee" to" the" Publisher" for" the" Retention" Period" (as" hereinafter"defined)"throughout"the"Territory"(as"hereinafter"defined)"the"entire"copyright"and"all" rights" title" and" interest" of" the" Assignor" in" the" music" lyric" and" title" comprising" the" musical" and" literary" work" as" specified" in" Schedule" 2" hereof" (to" the" extent" of" the" Assignor’s" interest" therein)" (“the"Composition”)"including"all"vested"contingent"and"future"rights"of"copyright"or"similar"rights" whether"now" or"hereafter"known" to"hold"the"same" unto"the" Publisher"its"successors"and"assigns" absolutely"for"the"Retention"Period." " 2. The"rights"hereby"assigned"shall" in"the"event"that" the"Assignor"and/or"the" Writer"shall"become"a" member"of"the"Performing"Right"Society"(“Society”)"be"subject"to"the"rights"of"the"Society"but"shall" include" the" reversionary" interest" of" the" Assignor" and/or" the" Writer" expectant" upon" the" determination"by"any"means"of"the"rights"of"the"Society." " 3. The"Assignor"hereby"agrees"itself"and"to"procure"that"the"Assignor"and"Writer"shall"execute"and" sign" any"other" documents" and" do" all" other" acts" and" things" which" may" hereafter" be" reasonably" required" of" the" Assignor" and/or" the" Writer" for" vesting" in" the" Publisher" the" Composition." " The" Assignor"hereby"waives"and"procures"that"the"Writer"waives"any"and"all"so‐called"“moral"rights”" which"may"now"or"at"any"time"in"the"Retention"Period"vest"in"the"Assignor"and/or"the"Writer."" The" Assignor" hereby" warrants" and" represents" that" to" the" extent" of" the" Assignor’s" interest" therein:‐"" " 4.1 "" the"Composition"is"an"original"and"unpublished"work"capable"of"copyright"protection"and" does"not"infringe"the"copyright"in"any"other"work;" " 4.2 "" the"Assignor"has"full"right"and"power"to"assign"to"the"Publisher"the"Composition"and" " 4.3

This" Agreement" shall" be" deemed" to" be" the" Assignor’s" Certificate" for" the" purposes" of" Rule" 1(0)"of"the"rules"of"the"Society"authorising"the"Society"to"treat"the"Publisher"as"exploiting"the" Composition" " The" Assignor" shall" hold" the" Publisher" its" successors" and" permitted" assigns" agents" and" licensees" free" and" harmless" from" and" against" any" and" all" claims" costs" (including" reasonable" legal"costs"on"an"indemnity"basis)"losses"or"damages"arising"out"of"or"incurred"by"the"Publisher" as"a"result"of"any"breach"or"alleged"breach"of"the"representations"warranties"agreements"and" undertakings" of" the" Assignor" contained" in" this" Agreement" resulting" in" a" court" judgement" or" settlement"reached"with"the"Assignors"consent"(such"consent"not"to"be"unreasonably"withheld" or"delayed)"

" 7."" ACCOUNTS" " 7.1" " The" Publisher" shall" keep" proper" books" and" records" of" account" and" shall" send" to" the" Assignor" within" ninety" (90)" days" after" the" 30th" June" and" 31st" December" of" every" year" statements"showing" the"royalties"received"by"the" Publisher"due"to" the"Assignor"in" respect"of" the"Composition"received"by" the"Publisher"in"the"six"months" preceding"those"dates"and"shall" credit"the"Assignors"royalty"account"with"any"sums"shown"to"be"due." " 7.2 All" royalty" statements" and" all" other" accounts" rendered" by" the" Publisher" to" the" Assignor" hereunder"shall"be"binding"upon"the"Assignor"and"not"subject"to"any"objection"by"the"Assignor" for" any" reason" unless" specific" objection" in" writing" stating" the" basis" thereof" is" given" to" the" Publisher"within"2"years"from"the"date"rendered.""All"payments"shall"be"made"to"the"Assignor." " 7.3 The"Assignor"shall"have"the"right"at"his"own"expense"to"have"a"firm"of"independent"chartered" accountants" at" reasonable" hours" and" on" reasonable" notice" but" not" more" than" once" during" each"year"of"the"Retention" Period"conduct"an" examination"of" and"copy"and" extract"from" the" Publishers" books" and" records" relating" to" the" exploitation" of" the" Composition" directly" identifiable"by" title" by" the" Publisher" pursuant" hereto" PROVIDED"THAT" only" 1" examination" of" the" said" books" and" records" shall" be" made" in" respect" of" each" statement" and/or" account" rendered"to"the"Assignor"hereunder"and"such"examination"must"be"carried"out"within"the"time" period"specified"in"7.2"above."In"the"event"that"such"inspection"properly"reveals"underpayment" of" royalties" in" the" period" audited" this" shall" promptly" be" credited" to" the" Assignors" royalty" account" hereunder." In" the" event" that" Assignors" royalty" account" shall" be" fully" recouped" then" any"such"underpayment"shall"be"promptly"paid"to"the"Assignor." " 7.4 All"payments"to"the"Assignor"hereunder"are"exclusive"of"VAT"which"shall"be"paid"in"addition"to" the" principal" sums" specified" upon" production" of" a" valid" invoice" therefor." 85%" (eighty" five" per" cent)" of" all" sums" received" by" the" Publisher" solely" derived" from" and" identifiably"attributable"by"title"from"the"sale"of"the"Composition"from"licenses"granted"by"the" Publisher"to"exploit"the"Composition"in"the"form"of"sheet"music."" "

The" Publisher" shall" have" the" right" to" include" the" Composition" in" any" printed" album" or" folio" and"to"licence"others"to"make"similar"uses"and"the"royalty"to"be"paid"by"the"Publisher"for"such" uses"shall"in"the"Publishers"discretion"either"be"that"proportion"of"12.5%"(twelve"and"one"half" per"cent)"of"the"marked"retail"selling"price"of"each"copy"of"such"album"or"folio"sold"and"paid" for" in" the" United" Kingdom" as" the" Composition" shall" bear" to" all" musical" compositions" contained"in"such"album"or"folio"or"85%"(eighty"five"per"cent)"of"all"net"sums"received"by"the" Publisher"from"their"sub‐publishers"or"licensees"in"respect"of"such"uses."" " No"royalties"shall"be"payable"on"reasonable"numbers"of"professional"copies"of"the"Composition"or" sample"copies"given"away"for"free"in"reasonable"numbers"for"the"promotion"thereof.""

" 2.0" MECHANICAL"ROYALTIES" " 85%" (eighty" five" per" cent)" of" all" royalties" received" by" or" credited" against" prior" advances" to" the" Publisher" which" are" solely"derived" from" and" identifiably" attributable" by" title" to" reproductions" of" the"Composition"in"connection"with"the"manufacture"of"audio"or"audio"visual"products"(other"than" for"use"or"in"connection"with"cinematograph"films"and"television"films)"for"sale"to"the"public."" " 3.0" SYNCHRONISATION"FEES" " 75%"(seventy"five"per"cent)"of"all"royalties"and"fees"received"by"or"credited"against"prior"advances" to" the" Publisher" which" are" solely" derived" from" and" identifiably" attributable" by" title" to" the" synchronisation"of"the"Composition"with"any"cinematograph"film"or"television"film."It"is"agreed"that" the" Publisher" shall" have" the" exclusive" right" to" grant" exclusive" or" non‐exclusive" synchronisation" licenses" in" perpetuity" (irrespective" of" the" Retention" Period)." " " The" Writer" shall" have" a" right" of" approval"over"any"grant"of"a"synchronisation"licence"for"the"use"of"the"Composition"in:"" (1)"any"advertisement"for"a"third"party"branded"product"or"service"" (2)"any"computer"game"" PROVIDED"THAT"the"Writer’s"approval"shall"be"deemed"given"in"the"event"that"xxxxxxxxxxxx"or"his" designated"agent"approves"such"use"and"in"such"event"that"the"Publisher"shall"be"entitled"to"enter" into"such"licence."For"the"avoidance"of"doubt"no"approval"shall"be"necessary"for"any"advertisement" advertising"a"record"or"film"which"includes"a"recording"of"the"Composition"or"for"synchronisation"of" the"Composition"in"any"promotional"video"for"a"recording"of"the"Composition."" synchronisation" licence" can" only" be" withheld" on" the" basis" of" valid" objections" to" the" requested" synchronisation"itself"and"the"licence"terms"which"it"is"proposed"be"granted"to"the"third"party"by" the" Publisher." " The" granting" or" withholding" of" consent" cannot" be" conditional" upon" the" stipulation" that" any" other" term" and/or" provision" of" this" agreement" must" be" varied" and/or" altered" and" in" the" event" consent" is" stipulated" as" being" conditional" upon" such" an" eventuality" consent"will"be"deemed"automatically"granted." " 4.0" PERFORMING,"BROADCASTING"AND"REDIFFUSION"FEES" " These"are"collected"by"the"Society"and"are"paid"direct"to"its"members"in"accordance"with"its"rules." It"is"agreed"that"the"Assignors"share"shall"be" 6/12"(six"twelfths)"and"the"Publishers"share"shall"be" 6/12"(six"twelfths)"of"which"the"Publisher"shall"pay"and"account" to"the"Assignor"for"70%"(seventy" per" cent)" of" such" fees" received" by" the" Publisher" and" identifiably" attributable" by" title" to" the" Composition" " " 5.0" GENERAL"FEES"AND"USES" " 75%"(seventy"five"per"cent)"of"any"sums,"royalties,"fees"and"other"monies"received"by"or"credited" against"prior"advances"to"the"Publisher"which"is"solely"derived"from"and"identifiably"attributable"by" title" to" the" exploitation" of" the" Composition" by" means" other" than" those" specified" above" but" specifically"excluding"for"the"avoidance"of"doubt"any"so"called"“black"box”"income."" " 6.0" COVERS" " In" lieu" of" the" royalties" specified" in" Clause" 2.0" above," 75%" (seventy" five" per" cent)" of" all" royalties" received" by" or" credited" against" prior" advances" to" the" Publisher" on" a" Cover." Cover" (including" without"limitation"a"Cover"Recording)"shall"mean"any"use"and/or"exploitation"of"the"Composition" which"does"not"feature"a"performance"of"xxxxxxxxxxx"unless"such"Cover"has"been"procured"by"the" direct"efforts"of"the"Writer"or"the"Writer’s"manager"and"the"Publisher"is"notified"in"writing"of"such" fact" prior" to" release." The" use" of" a" so‐called" “sample”" of" the" Composition" in" a" recorded" work" in" circumstances" in" which" payment" of" a" royalty" and/or" fee" is" secured" in" relation" to" such" use" shall" constitute"a"Cover."" " 7.0" CALCULATION"OF"ROYALTIES" " All" of" the" royalties"and" fees" arising" from" the" exploitation" of" the" Composition" shall" be" calculated" upon"one"hundred" per"cent" (100%)" of"the" gross"earnings"“at"source”" (SAVE"for" third"party" sheet" music"income"which"shall"be"calculated"on"a"receipts"basis"based"on"Publisher’s"receipts"in"the"UK)" and"received" by"the" Publisher"in" the"United" Kingdom" and"arising" directly"and"identifiably"by"title" from" the" use" and/or" exploitation" of" the" Composition" throughout" the" Territory"multiplied" by" the" Assignor’s"percentage"control"of"the"Composition"and"after"allowing"for"the"following"deductions" only:" " 7.1 VAT"and" any"other"taxes" required"to" be"deducted,"which"are"actually"deducted"and" are"not" reimbursed;" " 7.2 standard" commissions" deducted" by" performing" right" societies," mechanical" right" societies"or" any"other"industry"collection"agencies"established"for"that"purpose;" " 7.3 royalties"paid"to"arrangers,"adaptors"or"translators."
