The first chapter of the feasibility study summarizes all the legal requirements needed by a company necessary to obtain before the operation of the business. In establishing a business, some legal requirements must be fulfilled. A business should abide by the rules and regulations stated to avoid legal issues in the future matter. All registration process and procedures are presented to every government agency and division.

Legal Requirements Securities and Exchange Commission. The Securities and Exchange Commission (SEC) is the government office concerned with the registration and recording of partnerships and corporation. If available, register/reserve the business name via SEC online website or at SEC Name Verification Unit- SEC Office 3. Prepare, sign, and notarize the following: 1. Articles of Incorporation 2. By Laws 3. Treasurer`s Affidavit 4. Joint affidavit of two incorporators undertaking to change corporate name immediately upon receipt of notice or directive from Securities and Exchange Commission that another corporation, partnership or has acquired a prior right to use of that name or that name has been declared misleading, deceptive, confusingly like a registered name, or contrary to public morals, good customs or public policy. 5. Submit notarized to SEC Office 6. Claim the SEC Certificate of Registration The processing time is that at least one (1) week upon submission of complete documents. Registration of the Business Name. To be able to register the business, submitting a business name with the SEC is the first step. SEC will then verify if the proposed name is still available. The steps to secure a business license: 1. Filling up of Application Form 2. Proceed for assessment and computation of fees/order of payment. Then, pay the corresponding business license fees. 3. Releasing of Business License/Permits – present the Official Receipt for the issuance of Business Permit and Business Plate.

BIR Registration. Registering the business with the BIR will provide the authority to print the official receipts and other invoices, provide the corporation a Tax Identification Number (TIN) and register the books to be used to record the business transactions. If all the requirements are completed proceed with the BIR registration. These are the steps that must be followed: 1. Accomplish BIR Form 1903 and submit the same together with the required attachments to the Revenue District Office. The following are the forms and documentary requirements to be attached with the application: a. BIR Form 1903 – Application for Registration for Corporations/ Partnerships (Taxable/ Non-Taxable) b. SEC “Certificate of Registration (Certificate of Incorporation/Certificate of Co-Partnership) c. Mayor’s Permit or application for Mayor’s Permit – to be submitted prior to the issuance of the BIR Certificate of Registration COLLEGE OF BUSINESS ADMINISTRATION

Pay for the Certification Fee and for the Documentary Stamp Tax (in loose form to be attached to Form 2303). 4. The RDO shall issue the Certificate of Registration (Form 2303). 5. Taxpayer must pay the Documentary Stamp Tax on the Articles of Incorporation as prescribed under Section 175 of the NIRC, on the 5th of the month following the date of issuance of said article (per RR 4-2000).

Note: Corporations, partnerships, joint ventures and all individuals engaged in trade or business shall accomplish and file the application before the commencement of the business operation.

SSS Registration. SSS also known as Social Security System is so important not only in social aspects but also for retirement. The Social Security System is a government agency that provides retirement and health benefits to all enrolled employees in the Philippines. It aims to provide basic needs to citizens who are retired, unemployed, or unemployable due to a disability. Registration with the Social Security System (SSS) will require the following: 1. SSS Forms R1A Employment Report (list of the employees) signed by the

President of the corporation or any of the corporate officers; 2. SSS Forms R-1 Employer Registration signed by the President of the

corporation or any of the corporate officers; 3. L-501 SSS Form Specimen Signature Card signed by Authorized Signatory;

The following are the steps for registration: 1.

A corporation must accomplish SSS Forms R-1(Employer Registration) and R-1A (Employment Report) signed by its President or any of the corporate officers and submit these forms together with a photocopy of the Articles of Incorporation. The original copy of the Articles of Incorporation must be presented to the SSS for authentication purposes.

2.

The Employer shall then submit the initial Employment Report (SSS Form R-1A) to report his/her employees, within thirty (30) days upon their hiring. The SSS Form R-1A should indicate the correct ER Number, the total number of employees reported, and complete employees’ details such as their respective SS Numbers, birth dates, employment start dates, monthly compensation, and positions.

Submit the above requirements; and

Secure SSS Certificate and stamped received R1-A.

Note: The 13-digit Employer Number is always used in all transactions with the SSS. Once SSS number has been issued, it is a must to contribute and pay contributions whether employed or registered as employed, voluntary, OFW or household service worker or whatever the status is. The time, place and manner of calling and conducting regular or special meetings of the directors. a) Regular meetings of the board of directors of the corporation shall be held monthly, unless the by-laws provide otherwise. b) Special meetings of the board of directors may be held at any time upon the call of the president or as provided in the by-laws c) Meetings of directors may be held anywhere in or outside of the Philippines, unless the by-laws provide otherwise. Notice of regular or special meetings stating the date, time and place of the meeting must be sent to every director or trustee at least one (1) day prior to the scheduled meeting, unless otherwise provided by the by-laws. A director may waive this requirement, either expressly or impliedly. II. The time and manner of calling and conducting regular or special meetings of the stockholders. a) Regular or annual meetings of stockholders shall be held annually on 5 th of January. b) Written notice of regular meetings shall be sent to all stockholders of record at least two (2) weeks prior to the meeting, unless a different period is required by the by-laws. c) Special meetings of stockholders shall be held at any time deemed necessary or as provided in the by-laws: d) Written notice of special meetings shall be sent to all stockholders at least one week prior to the meeting, unless a different period is required by the by-laws. e) Stockholders’ meetings, whether regular or special, shall be held in the city or municipality where the principal office of the corporation is located, and if practicable in the principal office of the corporation.
